Acceptance of the General Terms and Conditions of Sale

These General Terms and Conditions of Sale govern the sale of products or services marketed by Il Foglio Soc. Coop. All contracts for the purchase of products or services concluded via the website www.ilfoglio.it shall be governed by these General Terms and Conditions.

Terms and conditions for the provision of paid services

1. Definitions
1.1 Foglio Edizioni srl is the owner of the domain ilfoglio.it; Il Foglio quotidiano soc. coop. is the publisher of the newspaper “Il Foglio quotidiano”, registered on 7 December 1995 under no. 611 at the Court of Milan, for which the website www.ilfoglio.it is registered as the online edition

Offer: the document or, in any case, the communication – including electronic communication – which may be published online, setting out the fee and any other conditions, including financial terms, applicable to the Service for its entire duration or for part thereof.
1.2 Terms defined in the singular have the same meaning in the plural, and vice versa.
2. Scope of application of the Terms and Conditions
2.1 These Terms and Conditions govern the provision of the Service on a fee-paying basis. These Terms and Conditions supplement the General Terms and Conditions for the use of the services provided by the Supplier. The provision of the Service is therefore subject to both these Terms and Conditions and the General Terms and Conditions.
3. Subject matter of the contract
3.1 The Service allows the User to access, for a fee – either on a pay-per-use basis or via a subscription – the content specified for each Service.
3.2 The Service also provides for the sending of one or more newsletters to the User, without prejudice to the User’s right to opt out of receiving one or more of them at any time, whilst continuing to use the Service.
3.3 The Service may be purchased via the website and/or the app as defined above. The supported devices and operating systems are listed by the Supplier on the website https://www.ilfoglio.it and in the Il Foglio app respectively. Before making a purchase, the User must check that their devices are among those supported by the Provider. The costs of the equipment and devices required to use the Service are borne exclusively by the User, unless otherwise stated in any promotional offers.
3.4 In addition to the content specified in the relevant definition, the Service may also include additional content such as, for example, articles, e-books, videos and/or films. Certain additional digital content, where published by companies other than the Supplier, may, on occasion, be inaccessible via certain devices, platforms or operating systems due to technical limitations beyond the Supplier’s control.
4. Conclusion of the contract
4.1 The User’s request to purchase the Service constitutes an offer. The User’s offer shall be deemed accepted, and the contract thereby concluded, upon activation of the Service by the Supplier.
4.2 The Supplier shall confirm to the User that the Service has been activated by means of an electronic communication via email or through any other channels available via the device used to conclude the contract or to use the Service.
4.3 By requesting activation of the Service, the User declares that they have read and accept the content of the Offer and the Terms and Conditions applicable to the Service.
5. Remuneration
5.1 In order to use the Service, the User is required to pay the Supplier the fee specified in the Offer selected by the User. The fees indicated always include VAT unless otherwise stated.
5.2 In the case of purchases of individual items of content, payment of the fee to the Supplier shall be made in a single instalment upon conclusion of the contract.
In the case of a subscription, the first payment will be due upon activation of the Service – unless otherwise stated in the Offer – whilst subsequent payments will be due upon expiry of the Offer to which the User has subscribed or of the period for which they have already paid.
5.3 The fees payable by the User do not include any costs relating to the internet connection required to use the Service provided. Such costs are to be borne by the User and may vary depending on the rates charged by the telecommunications operator chosen by the User.
5.4 Payment may be made using any of the methods specified by the Supplier at the time the User requests the Service. These methods are set out in detail in the Offer and may include payment by credit card, bank transfer or PayPal. Depending on the chosen payment method, the User undertakes to take all necessary steps to ensure the payment is successfully processed.
6. Suspension and termination of the Service
6.1 Should payment of the amounts due to the Supplier pursuant to the preceding article fail to go through, the Supplier reserves the right to temporarily suspend provision of the Service until such time as payment is actually made.
6.2 It is understood that the Supplier may, in any event, suspend and/or permanently terminate the provision of the Service should the User breach one or more of the provisions contained in these Special Terms and Conditions or in the General Terms and Conditions, without prejudice to the right to claim damages.
6.3 In the event of the suspension or permanent termination of the Service for reasons attributable to the User, the User shall not be entitled to any refund for that part of the Service not yet used.
7. Subscription duration and cancellation
7.1 The subscription service is for an indefinite period, unless otherwise specified in the plan taken out.
7.2 Once the period for exercising the right of withdrawal referred to in Article 9 below has expired – or, for Users other than consumers, from the moment of activation – the User shall be entitled to deactivate the Service at any time. To deactivate the Service, the User may, as an alternative, in order to provide a certified date for the relevant notification:
i) send an email to [email protected], specifying the subject line and the User ID required to identify the Services for which deactivation is requested, attaching a copy of the User’s valid identity document, in order to ensure that the request actually originates from the User themselves, as the holder of the Service; alternatively, the request may be digitally signed (file with the .p7m extension).
7.3 It is understood that deactivation will take effect from the end of the current billing period, with the result that the amounts due for that period will be charged as normal by the Supplier and will not be eligible for a refund.
8. Limitations of liability
8.1 Notwithstanding the professionalism with which the Supplier drafts and updates its content, it is possible that such content may contain errors or be out of date. The User is therefore solely responsible for any action taken on the basis of the data, information, news and content provided by the Supplier.
8.2 During the term of the contract, the Supplier reserves the right to carry out maintenance work aimed at correcting and/or improving the performance of its Services. In such cases, the User will be promptly informed of the date and duration of the work.
8.3 The Supplier may update the applications through which the Service is accessed in order to introduce new features and/or correct any bugs, defects or programming errors. The User undertakes to check periodically for updates to the aforementioned applications released by the Supplier and to install them.
8.4 The Supplier shall at no time be liable for the unavailability of content attributable to faults or malfunctions of the internet.

9. Withdrawal
9.1 In accordance with Article 52 of Legislative Decree 206/2005 and Article 9 of DIRECTIVE 2011/83/EU OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL, under the right of withdrawal, the Consumer has fourteen (14) calendar days from the date of receipt of the product(s) to return any product(s) that are unwanted or no longer required.
9.2 To exercise the right of withdrawal, the Consumer must inform Il Foglio Soc. Coop. of their decision to withdraw from the contract, and then request the opening of a WITHDRAWAL case by sending an explicit statement by email to [email protected], in which they must specify: the date of purchase, the order number and the bank details for any refund.
9.3 The reader has fourteen (14) calendar days from the date on which the reader paid for the initial transaction (Article 13(1) of DIRECTIVE 2011/83/EU OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL), to inform Il Foglio Soc. Coop. that they wish to exercise their right of withdrawal and to obtain a return reference number for withdrawal from Customer Services.
9.4 Il Foglio Soc. Coop. reserves the right, at its discretion, to withhold from the refund an amount proportionate to the number of printed copies dispatched (pursuant to Article 59(l) concerning the supply of newspapers, periodicals and magazines, with the exception of subscription contracts for the supply of such publications; whilst no refund shall be made pursuant to Article 59(o) concerning the supply of digital content via a non-material medium if performance has commenced with the consumer’s express consent and with their acceptance that, in such a case, they would forfeit their right of withdrawal;
9.5 However, the User shall not be entitled to exercise the right of withdrawal in the case of the purchase of individual items of content [a single article, a single issue of a periodical, etc.].
10. Security measures to protect content
10.1 Content provided by Il Foglio Soc. Coop. may be protected by specific electronic security measures designed to ensure that it is used within the limits and in the manner specified in the Terms of Service.
10.2 The User undertakes not to remove, disable, tamper with or alter, nor to carry out any other activity aimed at circumventing the proper functioning of the measures implemented by the Provider to protect its content.
10.3 Any breach of the provisions set out in the preceding paragraph shall entitle the Supplier to terminate the contract with immediate effect, without prejudice, in any event, to the right to claim damages.
11. Governing law and jurisdiction
11.1 The agreement between the Supplier and the User shall be governed by Italian law and, for any dispute relating to the interpretation, performance or termination of the agreement, the court of the User’s place of residence or domicile shall have jurisdiction, in accordance with Legislative Decree No. 206/2005, provided the User is a consumer and is resident in Italy.

Definitions

To ensure clarity of interpretation, the meanings of the main terms used in this document are set out below:
Foglio Edizioni srl is the owner of the domain ilfoglio.it; Il Foglio quotidiano soc. coop. is the publisher of the newspaper “Il Foglio quotidiano”, registered on 7 December 1995 under no. 611 at the Court of Milan, for which the website www.ilfoglio.it is registered as the online edition.
The term ‘website’ refers to www.ilfoglio.it, which comprises all the services and content offered by the publisher. In particular, in the case of blogs linked to the website, the individual journalist or internet user is the owner of the space and the content published on the blog associated with them and managed by them. Foglio Edizioni srl, as the owner of the website, Il Foglio quotidiano soc. coop., as the publisher of the newspaper, and the Editor-in-Chief shall not be held liable in any way for the content published by individual journalists on their respective blogs.
“Reader” refers to a visitor to the website and a user of the services provided by the website.
“Services” refers to the following services available on the website:

(individually, the “service”)
Content/contents include, by way of example, text, audio, video, audio-visual material, graphics, photographs or any other type of material, whether original or reproduced, featured on the website.

How to purchase

Purchasing procedures and instructions
1. The Customer may only purchase products listed in Il Foglio Soc. Coop’s online catalogue at the time the order is placed and viewable on the website www.ilfoglio.it, as described in the relevant product information sheets. Il Foglio Soc. Coop reserves the right to amend technical information without prior notice.
2. Il Foglio Soc. Coop will confirm correct receipt of the order by sending an email reply to the email address provided by the Customer. This confirmation message will state the date and time the order was received and an ‘Order Number’, to be used in all further correspondence with Il Foglio Soc. Coop.
3. In the event that an order is not accepted, Il Foglio Soc. Coop. undertakes to notify the Customer promptly.
4. All prices shown on the website are retail prices and therefore include VAT. Il Foglio Soc. Coop. reserves the right to change prices at any time without prior notice.
5. Il Foglio Soc. Coop. does not guarantee that the goods ordered will be supplied under any circumstances.
6. Il Foglio Soc. Coop. reserves the right, in all cases, to accept or reject an order, even if it is VALID, at its SOLE DISCRETION.

Purchasing instructions

ADD PRODUCTS TO YOUR BASKET
To purchase a product, select the category, choose the product and click on the "ADD TO BASKET" button to add the desired product to your basket, with no obligation to buy. To change the quantity, enter the number of units of the product you wish to purchase and click on "RECALCULATE TOTAL" to apply the change. At this point, you can decide whether to place your order by clicking the "BUY" button, or continue shopping by clicking the "CLOSE BASKET" button. You can check which items have been added to your basket at any time and remove them if necessary by clicking "VIEW BASKET".
SHOPPING BASKET
By clicking on the shopping basket button at the top of the page, you can view your basket, change the quantities of the products you have selected or remove them from the basket. You can also check the price of individual products and the total cost of your order at any time (excluding delivery charges, which will be calculated automatically when you place your order). The virtual shopping basket is temporary; its contents will be automatically cleared when you leave our website.
ORDER
Once you have filled your basket and chosen to proceed to checkout by clicking the ‘BUY’ button, a page will appear where you can enter your personal details and any billing information; click ‘CONTINUE’. A screen will appear where you can enter your delivery details (if different from those entered previously), then select your preferred payment method and proceed to confirm your order.
ORDER CONFIRMATION
Once you have placed your order, you will receive an email confirmation (receipt) containing a summary of the order as we have received it; we recommend that you print a copy or save the text to your computer.
PRICES
All prices listed on the website, in the relevant column, are inclusive of VAT but exclude delivery charges. Prices are subject to change at any time without prior notice.
PRODUCT AVAILABILITY
In the product catalogue published on the Il Foglio Soc. Coop. website, as access to the site and the ability to place orders online affect product availability in real time, Il Foglio Soc. Coop., cannot guarantee that the goods ordered will be supplied.
Il Foglio Soc. Coop., shall not be liable for any damage or loss, whether direct and/or indirect, arising from the sale of goods and services featured in the catalogue published on our website, including in the event of delayed and/or non-delivery of the product, nor for the conformity of the goods to the specifications published on the website, nor for any other matter not directly attributable to our Company.

Payment methods

1. PayPal
If you are paying via PayPal, you will be redirected to the Company’s portal to complete the transaction; once the transaction has been approved, you will be redirected back to our website.
2. PayPal with recurring payments
If you are paying via PayPal, you will be redirected to the Company’s portal to complete the transaction; once the transaction has been approved, you will be redirected back to our website. At the time of payment, you will be asked to give your consent for a recurring charge for the service purchased.
3. Credit cards and prepaid credit cards.
Where goods are purchased using a credit card, upon completion of the online transaction, the relevant bank will authorise only the amount relating to the purchase made; the transaction fee is payable by the customer. The amount relating to the dispatched goods will be charged to the customer’s credit card at the time the ordered goods are actually dispatched. We accept all credit cards issued by Visa and Mastercard. Under no circumstances may the customer cancel the order, as the goods, if available, are dispatched to the customer immediately or the service is activated straight away.
In certain cases, Il Foglio Soc. Coop. reserves the right to request additional information from the Customer or to ask them to provide copies of documents proving ownership of the card used. If the required documentation is not provided, Il Foglio Soc. Coop. reserves the right not to accept the order.
At no point during the purchase process is Il Foglio Soc. Coop. able to access the buyer’s credit card details, as these are entered directly on the website of the bank handling the transaction, which employs extremely high-security systems; as no data is transmitted, there is no possibility of this information being intercepted.
No computer database belonging to Il Foglio Soc. Coop. contains customers’ credit card details. Il Foglio Soc. Coop. cannot therefore, under any circumstances, be held liable for any fraudulent or unauthorised use of credit cards by third parties when paying for products purchased on www.ilfoglio.it.

How to access the website

As part of the registration process, readers are required to choose their own user ID and password. They are also required to provide specific information, which must be correct and up to date.
Readers may not choose another person’s user ID with the intention of impersonating them. Furthermore, they may not use another person’s user ID without that person’s express authorisation. It is also prohibited to use user IDs which the editor, at their discretion, deems to infringe the rights of third parties, or which are otherwise offensive or obscene.

Readers are aware that they must be at least 18 years of age to register for the service, although people of all ages may access it. Those under the age of 18 must be supervised and authorised by their legal guardians.
The reader is fully responsible for any action taken via their account, whether directly or through third parties authorised by them. Any misuse, fraudulent use or otherwise unlawful use shall result in the immediate cancellation of the account, at the sole discretion of the publisher or the website administrator, without prejudice to the right of the rights holders to take any legal action.

Obligations and guarantees

By accessing the website and its services, the reader undertakes to:
1. Do not use the website or the material contained therein for any unlawful purposes, or as a means of disseminating or distributing, in any way, material or content intended to facilitate the commission of unlawful acts.
2. Do not use the website in such a way as to disrupt, damage or impair the efficiency of any part or the whole of the website, or in such a way as to impair the effectiveness or functionality of the website in any way;
3. Do not use the website to transmit or post viruses or any other material that is defamatory, offensive, obscene or threatening, or that may in any way cause annoyance, disturbance or any form of harm;

Il Foglio quotidiano soc. coop. accepts no responsibility for the material used and/or the conduct of readers whilst browsing the website. Furthermore, it accepts no liability for the transmission to the reader’s computer of any viruses or harmful content of any kind originating from third parties.
Consequently, the reader shall hold the publisher, the website operator and all parties associated with them harmless from and against any liability and prejudicial consequences, including, without exception, legal costs calculated in accordance with professional fees incurred by the publisher or the website operator as a result of legal proceedings arising from the reader’s breach of these obligations in relation to the misuse, by the reader or by third parties, of their account in breach of the warranties set out in this article.
In any event, the reader is required to cooperate fully with the publisher and the website operator in order to properly safeguard their rights in relation to such legal proceedings. The publisher and the website operator reserve the right to defend themselves independently in court, at their own expense, without prejudice to their right to claim compensation from the reader.

The reader acknowledges that any reliance placed on the truthfulness and reliability of the opinions, statements, advice or information published on the website is at their own discretion, and they accept the consequences thereof. The service and all downloadable materials are provided ‘as is’ without warranties of any kind, whether express or implied, including, without limitation, warranties of title, merchantability and fitness for a particular purpose. The publisher shall not be liable for any loss or damage arising from the user’s failure to comply with these terms and conditions, except where such loss or damage is due to the publisher’s negligence or fault. Except in cases of personal injury caused by negligence, gross negligence or wilful misconduct, the publisher shall not be liable for any loss or damage arising from, or in any way connected with, the use and operation of the website, including, without limitation, damages for loss of business, loss of profits, business interruption, loss of commercial information, or any other form of financial loss.
The reader expressly acknowledges and agrees that:
a. The website, blogs and any ancillary services are provided ‘as is’ and ‘as available’. Any warranty on the part of the owner of the website and blogs is expressly excluded.
b. The website owner does not guarantee (i) that the website, blogs and any ancillary services will meet the reader’s needs, (ii) that the website, blogs and services will be provided without interruption, in a timely manner, securely or free from errors, (iii) the reader’s expectation that the results obtained from using the website, blogs and services will be accurate and reliable, (iv) that the quality of any products, services, information or other materials purchased or obtained via the website and/or the software will meet the readers’ needs, nor that (v) any errors in the published material will be corrected.
c. Any content downloaded or otherwise obtained from or via the website and blogs is obtained at the sole and exclusive discretion and at the sole and exclusive risk of readers, who are solely and exclusively liable for any damage to their computer or loss of data resulting from downloading such content or from using the website, blogs and services.

Privacy

1. The personal data requested when placing an order is collected by Il Foglio Soc. Coop. and processed electronically, in order to fulfil the obligations arising from the contract entered into with the reader, and will under no circumstances and for no reason whatsoever be disclosed to third parties without the reader’s consent. Il Foglio Soc. Coop. guarantees its readers compliance with the legislation governing the processing of personal data, as set out in EU Regulation 679/16 and the Privacy Code referred to in Legislative Decree No. 196 of 30 June 2003.

3. The reader has the right, at any time, to withdraw their consent to the processing of personal data by sending written notice to the registered office specified in point 2.

The reader, who declares that they have received the information notice pursuant to Article 13 regarding their rights, in accordance with Articles 15, 16, 17, 18 and 19 of EU Regulation 679/16, has the right to access their personal data in accordance with the procedures set out therein. Marketing communications will only be sent with the reader’s explicit consent, given in conjunction with authorisation for the processing and sending of such communications via the online registration form.
Statistical data and data relating to website usage, once anonymised, may be used by the publisher and the website administrator for research and analysis purposes. For further details, readers may consult the privacy policy regarding the processing of personal data.
The publisher and the website administrator may contact readers by email to invite them to take part in surveys or to request feedback on the website and on existing or future products and services, subject to the reader’s consent. Such information will not be shared with third parties, except in aggregated form, and will be used solely to improve the website and its services.

Jurisdiction and applicable law
The sales contract between the Customer and Il Foglio Soc. Coop. is deemed to have been concluded in Italy and is governed by Italian law. For the resolution of civil and criminal disputes arising from the conclusion of this distance sales contract, if the Customer is a consumer, jurisdiction lies with the court of their municipality of residence; in all other cases, jurisdiction lies exclusively with the Court of Milan.

Terms and conditions

1. The terms and conditions contained in this document may be amended by Il Foglio Soc. Coop. without prior notice and shall take effect from the date of publication on the website www.ilfoglio.it
2. All readers are required to check these terms and conditions periodically to ensure they are aware of any changes that may have been made since their last visit to the website. In any event, use of the website and its services implies acceptance of any changes that have been made in the meantime.
3. Il Foglio quotidiano soc. coop. reserves the right to modify, suspend or discontinue the services, even partially, including access to the database or content. Il Foglio quotidiano soc. coop. may also impose restrictions on access or services, in whole or in part, without prior notice and without accepting any liability for such service restrictions.
4. Should the changes not be accepted, the reader may at any time cancel their subscription to the site by writing to: [email protected], on the understanding that continued use of the services implies acceptance of the new terms and conditions.
5. Readers may cancel their account at any time by sending an email to: [email protected]. Following cancellation, the reader will receive an email confirming receipt of the request, stating that the account will be deactivated within the following twenty-four hours. It is understood that the reader remains responsible for all activities carried out using the account until it is actually deactivated.
6. The publisher and the site administrator may, at their discretion, revoke or temporarily suspend access to all or part of the site and its services for any reason, including, without limitation, any breach of the rules set out in these terms and conditions of service.
